Terms of Service
Last updated 24 July 2026
These Terms govern your clinic's use of Ayunila. By creating an account or using the service, you agree to them on behalf of your clinic.
The service
Ayunila is a cloud-based clinic-management platform covering appointment booking, the patient queue, consultations and prescriptions, pharmacy, lab, billing, and related workflows, made available to clinics on a subscription basis.
Accounts and eligibility
You must be authorised to act on behalf of the clinic you register, and the clinic must be a legitimate healthcare provider operating lawfully in its jurisdiction.
- You are responsible for the security of your account and for the accounts of the staff your clinic invites.
- You are responsible for the accuracy of the clinical and billing data your clinic enters into Ayunila.
- You must promptly tell us of any unauthorised use of your account that you become aware of.
Acceptable use
- Use Ayunila only for legitimate clinic operations and in compliance with applicable law, including healthcare and data-protection law.
- Do not attempt to breach, probe or disrupt the security of the service, or access data belonging to another clinic.
- Do not use the service to send unlawful, unconsented, or misleading communications to patients.
- Do not reverse-engineer, resell or white-label the service without our written agreement.
Data fiduciary and processor roles
As between your clinic and Ayunila, your clinic is the data fiduciary (controller) for the patient data it enters, and Ayunila is the data processor, handling that data only on the clinic's instructions and to provide the service. This relationship, and our related obligations, are set out in our Data Processing Addendum (/legal/dpa), which forms part of these Terms.
Availability and support
We work to keep Ayunila reliable and available, and publish current system status at /status. We do not currently commit to a specific contractual uptime percentage under these Terms — if your clinic needs a formal service-level agreement, contact us to discuss enterprise terms. We provide support through the channels listed on our contact page.
Fees and billing
Paid plans are billed on the cycle you choose (monthly or annual) and renew automatically until cancelled. Fees are shown before purchase, and Indian taxes (including GST) apply as required by law.
New clinics may be offered a free trial period before billing begins. See /legal/refund for our cancellation and refund policy.
Suspension and termination
We may suspend or terminate access to Ayunila for a clinic that materially breaches these Terms, fails to pay fees when due, or where we reasonably believe continued access poses a security or legal risk. A clinic may cancel its subscription at any time as described in our refund policy. On termination, data is handled as described in our DPA and refund policy.
Limitation of liability
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Ayunila and its affiliates will not be liable for indirect, incidental or consequential damages arising from use of the service. Nothing in these Terms limits liability that cannot lawfully be limited.
Governing law
These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of the courts at [TODO: owner to confirm the registered-office city for jurisdiction], India.
Changes to these terms
We may update these Terms from time to time, for example to reflect new features or changes in law. We will update the "Last updated" date when we do; continued use of Ayunila after a change takes effect means you accept the updated Terms.
